Our corporate department counsels a wide range of public and private companies, including both new and developing enterprises as well as regional and multinational firms. Our expertise enables us to assist clients in all phases of corporate and securities matters including start-up, financing and entry into public markets and counseling on reporting and Sarbanes-Oxley issues necessary to maintain compliance.

We have represented both issuers and underwriters in private and public securities offerings and structured financing. We also have extensive experience in the formation, registration and offerings of private equity and hedge fund vehicles.

Our representation does not end when the deal closes, as our attorneys frequently become involved in many aspects of our clients' businesses providing counseling on corporate organization and governance, assisting in negotiating and closing financing and business expansion transactions and providing guidance on sales, mergers and other exit strategies.
